KHAN ANNOUNCES PRIVATE PLACEMENT OF SHARES

Khan Resources Inc. CA:KRI +10.00% (“Khan” or the “Company”) is pleased to announce that it intends to raise up to CDN$2.312 million in a non-brokered private placement by issuing up to 13,600,000 common shares of the Company at a price of $0.17 per common share.
A lead order for the offering has been placed by West Face Capital Inc. on behalf of one of the funds that it manages. In addition, a number of existing shareholders of the Company intend to participate in the placement.

The private placement is subject to the final approval of the TSX and is expected to close on or about April 18, 2012. Any securities to be issued will be subject to a hold period of 4 months.

Khan plans to use the proceeds of the offering to advance the Company’s international arbitration case for $200 million against the Government of Mongolia and for general corporate purposes.
